We are seeking a Corporate Paralegal to play a key role in supporting our global legal and governance operations. This is a high-impact position offering direct exposure to the Board of Directors and responsibility for managing a complex global subsidiary structure of approximately 50 entities. This role reports to the Corporate Governance Manager and will work closely with other members of the Legal and Compliance team, commercial teams, and other business stakeholders.

Hybrid role requiring two days a week at the Parsippany, NJ office

What You'll Do

Global Subsidiary Management

  • Oversee corporate secretarial activities across (+/- 50) global subsidiaries (U.S. and international)
  • Manage entity lifecycle activities, including formations, dissolutions, and officer/director changes.
  • Maintain accurate and up-to-date corporate records and governance documentation.

Compliance & Filings

  • Own and manage global compliance calendars and statutory filing requirements.
  • Coordinate filings with local authorities, including UBO and other regulatory submissions.
  • Ensure adherence to deadlines and local jurisdictional requirements across entities.

Board & Governance Support

  • Support Board of Directors and Committee operations, including scheduling and logistics.
  • Assist in preparing Board and Committee materials.
  • Support SEC filings and corporate governance initiatives.

Stakeholder & Vendor Management

  • Partner cross-functionally with Legal, Finance, Tax, Treasury, HR and business teams.
  • Manage relationships with outside counsel and third-party vendors supporting subsidiary operations.
  • Support internal stakeholders with governance-related requests.

Process & Systems

  • Maintain and enhance corporate records systems
  • Identify opportunities to improve governance, compliance, and documentation processes.

What You'll Bring

Basic Qualifications:

  • Bachelor’s degree or paralegal certification required.
  • 7 + years of experience in corporate law or subsidiary management (law firm or in-house).
  • Hands-on experience managing U.S. and international entities.
  • Experience supporting Board of Directors and corporate governance activities.
  • Proficiency with Microsoft Office and governance tools (e.g., Diligent).

Preferred Qualifications:

  • Strong organizational and project management skills with the ability to manage multiple deadlines.
  • High attention to detail and accuracy
  • Effective written and verbal communication skills
  • Collaborative, team-oriented approach with the ability to work across all levels of the organization

Competitive base salary based on experience and qualifications: $87,600- $116,050 (subject to variation depending on physical location).

Posted salary ranges are provided in good faith. embecta reserves the right to adjust ranges depending on the selected candidate’s experience, qualifications, external market conditions, and internal equity considerations.
